The big difference between YouTube and Microsoft is financial.
YouTube is sitting on a "theoretical" mountain of money, while Microsoft's is quite literal.
I don't see YouTube as being the target of this venture really. Yahoo! and Google's YouTube clones are more likely victims (and easier ones).
